Section 409A of the Internal Revenue Code plays a significant role in the terms and structure of these agreements, and we are well-versed in the considerations imposed by that section.
We serve as the legal counsel to Compensation Committees and Boards of Directors in regard to the adoption and amendment of, and granting awards under, these arrangements. We also advise our clients in regard to securities law exemptions, registration, reporting and stock exchange rules and requirements.
